NON-DISCLOSURE AGREEMENT (NDA)
Eco Beach City
1. Parties:
This agreement is entered into between:

PT Eco Beach City, hereinafter referred to as the “Disclosing Party”,
and -

2. Purpose:
The Disclosing Party agrees to share confidential and proprietary information with the Receiving Party regarding the development of the Eco Beach City project, including but not limited to:

Legal structures and land documentation
3. Confidentiality Obligations:
The Receiving Party agrees to:

Maintain the confidentiality of all information received

Not share, reproduce, disclose, or use the information for any purpose other than evaluating or supporting their own investment in the project

Not forward, publish, or discuss confidential data with third parties (including media, forums, or legal networks) without prior written consent from Eco Beach City
4. Exceptions:
Information shall not be considered confidential if:

It becomes publicly available through no fault of the Receiving Party

It is already known by the Receiving Party before disclosure

It is independently developed without access to confidential information
5. Duration:
This NDA is valid for a period of ten (10) years from the date of signing.
6. Jurisdiction:
This agreement shall be governed by and interpreted in accordance with the laws of Indonesia, as the jurisdiction where the project and legal entities are based.
By signing this document, the Receiving Party acknowledges full understanding and acceptance of the above terms.
